Governance

CEHL operates as a registered housing association and a non-profit entity, functioning within the parameters set by Corporations Law, its funding agreement with the Office of Housing, the Housing Act 1983 (the Act), the seven international Cooperative Principles, and the policy directives established by its Board of Directors.  

Membership structure and participation

In accordance with the CEHL Constitution, the share capital of the Company is held as follows:  

  • 15 shares classified as Directors’ shares; and
  • 185 shares classified as Ordinary Redeemable Shares which may only be held by a cooperative that occupies land owned by CEHL.

Each housing co-operative member holds a single share in CEHL, entitling them to a singular vote during shareholder meetings, including the Annual General Meeting.  This mechanism ensures democratic representation.  

Role and responsibilities of the Board of Directors

The Board of CEHL is responsible for the overall corporate governance and strategic direction of CEHL and to ensure it fulfils its purpose of partnering with member co-ops to deliver an effective, sustainable, and member-led co-operative housing program. The CEHL Board also meets CEHL’s legislative and regulatory compliance obligations and oversees the management of the company’s assets and finances. 

The composition of the Board is as follows:

  • five persons nominated by the Board and selected for the benefit of their technical expertise at law, accounting, social housing, real estate, finance and other similar areas (Technical Directors);
  • five existing CERC Members nominated by their Shareholder CERC (at the CEHL AGM);
  • the person appointed by the Board to act as the Managing Director.  

Board committees and strategic initiatives

Committees of the board which comprise CEHL Board and independent advisors/and members, convene regularly to advance strategic objectives in key areas:

  • Property;
  • Finance, Audit, and Risk;
  • People, Compliance, and Governance.

In 2023, the Co-op Board Advisory Committee (CBAC) was formed. CBAC comprises members appointed by the Board from various CEHL co-ops. CBAC’s primary objective is to offer insights and guidance to the Board, as required.

Meeting frequency and reporting

The board typically convenes on a monthly basis.
